320 The Vote
F&F, Nick’s office Nick is meeting with a female associate, Sandra, going over a deal. He tells her it’s all wrong, that this is an assets liquidation deal, not a stock deal. She becomes angry with him because he had not told her of the change and now will not let her take care of her part of the deal, but brushes her off, saying he’ll do it. She gets up and walks out of his office.

In the lobby, she runs into Jake, who is on his way in. She tells him that she’s had it, and he tells her to hang in until tomorrow.
Nick sees them talking through his open door as he works.

Restaurant Lulu is waiting when Nick arrives. He kisses her on the cheek and apologizes for being late, venting a little about Sandra. He then apologizes and they start talking about the baby. Nick doesn’t want to know the baby’s sex, he says it’s like opening the present before Christmas. Lulu doesn’t say anything to this, but brings up the subject of Suzanne again, telling Nick how she has to work with Suzanne on an almost daily basis and it’s very hard knowing Nick slept with her.

Burton’s house Nick comes by to talk to Burton. Sandra is there and getting ready to leave—it has clearly been a social visit, not business.
Burton announces to Nick that he and Sandra have been spending time together, that they enjoy each other’s company.
Note: Nowhere do we get any indication that they have slept together.

Nick points out that the timing is convenient, as she is up for partnership. Burton says that has nothing to do with it. Nick then tells him that he wasn’t planning on supporting Sandra for partner. Burton tells him to do what he thinks he has to do.

Frick building elevator Sandra gets in first, followed by Nick. She coolly tells him hello, which he reciprocates. As they get ready to get off the elevator, Nick asks if she’s interested in the firm’s Pirates tickets, to which she coldly replies no.

In the lobby, they separate. Sandra runs into Burton, and they greet each other awkwardly, if a bit giddily, because of the upcoming partners’ meeting.
In his office, Burton asks Nick not to say anything about his involvement with Sandra.

Conference room Nick and Jake are meeting with a client, Rachel. She has been acting CEO of her family’s paper company for a couple of years. Her husband is very ill with multiple schlerosis. Someone wants to buy the company, but her husband is refusing to approve it. She is concerned because he had always said his intentions were to build up the company, then sell it. Now she is concerned that they will lose out on this opportunity if they wait for him to make a decision.

LSP, meeting room Alvin is talking with Drew, a kid who has just gotten out of the mental hospital because he tried to hang himself. The boy is defensive about it, but starts to open up just a bit when Alvin says he can understand how the boy feels.
Before he can say more, Lulu interrupts them, calling Alvin out for a moment. She then takes the case from Alvin and gives it to Nick, as she’s concerned about Alvin’s attitude at the moment.
Nick opens the door to go into the meeting room just as Alvin trips over the chair and goes sprawling across the room.

Later, as Nick and Drew are walking through the courthouse hallway, Nick has to make Drew take his headphones off and turn off the music, stating that they won’t be allowed in the courtroom. As they continue, Drew says he now knows the reason his attempt at hanging wasn’t successful was because he didn’t have enough loops in the noose.

Client’s house Nick and Jake have gone by to talk to Charlie and his lawyer. The lawyer says that Charlie does not want to sell at this time, although Nick has serious doubts as to Charlie’s ability to communicate, as he appears nearly catatonic through the entire discussion.

Outside, Nick and Jake discuss the situation. Nick wants to have Charlie declared incompetent, but Jake feels this unnecessary. Nick points out that they don’t have much time left on the deal, and there is 50 million dollars at stake.
As the scene ends, Nick offers Jake the Pirates tickets, which Jake also declines.

F&F, Executive Committee (Partner’s) meeting A male associate is first suggested for partnership, and all agree that he should be accepted. Next Sandra is suggested. Burton says wonderful things about her work, as does Jake. When it comes to Nick, the room goes quiet . . .

Afterwards, Burton has to tell Sandra that she didn’t make partner. She is clearly upset, and asks outright if it was Nick who voted against her. Burton refuses to answer her, simply saying that the executive committee felt she wasn’t ready at this time. She says it’s not the committee, it’s Nick.

Hallway Jake comes across Nick and tells him that he’s surprised the he shot Sandra down.
As Nick gets in the elevator, Sandra follows him. She pointedly ignores him, but Nick makes comments about the case they’ve been working on, about things they’ll need to discuss. She refuses to make eye contact with him and answers him in monosyllables.
